Note:

Candidates must be licensed to practice law in Ohio and should bring 5+ years of transactional attorney experience. The ideal candidate will have 8+ years of corporate transactional experience.

Job Description

Draft, review, negotiate, and revise a wide range of corporate and commercial agreements. Advise clients on business transactions, entity formation, governance, contract matters, and general corporate legal needs. Support mergers, acquisitions, business succession matters, commercial transactions, and other deal-related work.Conduct legal research, review due diligence materials, and help identify practical legal and business risks. Work directly with partners, clients, opposing counsel, and internal teams to move transactions forward efficiently. Prepare closing documents, resolutions, operating agreements, purchase agreements, and related corporate documentation.Manage multiple transactional matters, deadlines, and client priorities with strong attention to detail and sound legal judgment. Build trusted client relationships through responsive communication, practical advice, and high-quality work product. Qualifications

Ohio law license required. 5+ years of transactional attorney experience required. 8+ years of corporate transactional experience strongly preferred. Experience with corporate law, commercial contracts, business transactions, entity formation, governance, mergers and acquisitions, or related transactional matters.Strong drafting, negotiation, analytical, and client communication skills. Ability to manage multiple matters and deadlines in a professional law firm environment.
